In addition, Loopah cannot censor or edit the content of any third-party site. By using the site, you expressly relieve Loopah from any and all liability arising from your use of any third-party website. Loopah hereby grants you permission to use this Site as set forth in Terms of Use, provided that you will not copy or distribute any part of this Site in any medium without Loopah’s prior written authorization, and you will otherwise comply with the terms and conditions of these Terms of Use.

You may not use our Services, or accept our Terms of Use without parental consent if you are not of legal age to form a binding contract with Loopah. You may not use our Services or accept our Terms of Use if you are prohibited by law from receiving or using our Services.

Loopah may change our Terms of Use from time to time at its sole discretion. If such changes are made, Loopah will make a new copy of Terms of Use available at this Site, with any new additional Terms made available to you from within or through the affected Service. Loopah may require you to provide consent to the updated Terms of Use in a specified manner before further use of the Services is permitted. Otherwise, your continued use of the Site or any affected Service constitutes your acceptance of the changes. USE OF CONTENT

This Site is only for your personal use. You may not use this Site for commercial purposes or in any way that is unlawful, or harms us or any other person or entity.

ELECTRONIC COMMUNICATIONS

When you visit this Site or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on this Site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

ACCOUNTS

Loopah is a membership based fundraising organization and education based social network. A large portion of Loopah’s membership base are youth under 18 (eighteen) years of age. In order to promote the safety and privacy of our Members, Loopah permits or requires you to create an account prior to acquiring access to our entire site. (The parent/legal guardian of each prospective Member under 18 (eighteen) years of age must open an account for such Member.) You agree to provide, maintain and update true, accurate, current and complete information about yourself as prompted by Loopah’s registration process. You shall not impersonate any person or entity or misrepresent your identity or affiliation with any person or entity, including using another person’s username, password or other account information, or another person’s name, likeness, voice, image or photograph. Your account is for your personal use. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You also agree to promptly notify Loopah of any unauthorized use of your username, password, other account information, or any other breach of security that you have become aware of involving or relating to any Loopah site. In addition you agree to exit from your account at the end of each session. Loopah will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Loopah or another party due to someone else using your account or password. You may not use anyone else’s account at any time, without the permission of the account holder.

Loopah reserves the right to conduct a criminal background check, at any time using publicly available records to protect the safety of its members. Loopah reserves the right to refuse to register a prospective member and/or delete the profile of a current Member.

INDEMNIFICATION

You are responsible for maintaining the confidentiality of your username, password, and your account, as well as all activities that occur under your account. You hereby agree to indemnify, defend, and to hold us, Loopah and its affiliates, harmless from and against any and all losses, damages, liabilities and costs incurred by Loopah and/or its affiliates in connection with any claim arising out of any breach by you of these Terms of Use or claims arising from your use of the Loopah sites and/or your account(s). You shall use your best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to employ separate counsel and assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

MEMBER SUBMISSIONS

For Members, the Loopah Site permits user submissions including videos, photographs, or other materials (“Member Submissions”) and the hosting, sharing and publishing of such Member Submissions. By uploading or otherwise submitting any materials to us and/or the Loopah site, you automatically grant (or warrant that the owner of such rights has expressly granted) to Loopah a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, and distribute such materials or incorporate such materials into any form, medium, or technology (now known or hereafter developed or devised) throughout the universe.

RULES OF CONDUCT

The following Rules of Conduct apply to the Loopah. By using the Loopah Site(s), you agree that you will not Distribute any submission that:

• Is defamatory, abusive, harassing, threatening, or an invasion of a right of privacy of another person;
• Is bigoted, hateful, or racially or otherwise offensive;
• Is violent, vulgar, obscene, pornographic or otherwise sexually explicit;
• Otherwise harms or can reasonably be expected to harm any person or entity;
• Is illegal or encourages or advocates illegal activity or the discussion activities with the intent to commit them;
• Infringes or violates any right of a third party;
• Is commercial or business-related;
• Contains a virus or other harmful component; or otherwise tampers with, impairs or damages the Loopah Sites or any connected network, or otherwise interferes with any person or entity’s use or enjoyment of the Loopah Sites; or connected network; or
• Is antisocial, disruptive, or destructive.

We cannot and do not assure that other users are or will be complying with the foregoing Rules of Conduct or any other provisions of these Terms of Use, and as between you and us, you hereby assume all risk of harm or injury resulting from any such lack of compliance.

COOPERATION

Without prejudice to any of our other rights under these Terms of Use or at law, we reserve the right, but disclaim any obligation or responsibility to refuse to post or communicate or remove any communication form any Loopah Site that violates these Terms of Use and to the extent we are able to do so under applicable law, identify any user to appropriate third parties. Moreover, we retain all rights to remove communications at any time for any reason or no reason whatsoever.

COPYRIGHT

All content included on our Site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software and like material, is the property of Loopah and is protected by United States and international copyright laws. The compilation of all content on our Site is the exclusive property of Loopah and is protected by U.S. and international copyright laws.

COPYRIGHT COMPLAINTS

Loopah respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please contact us.

TRADEMARKS

Our trademarks and trade dress may not be used: in connection with any product or service that is not the property of Loopah; in any manner that is likely to cause confusion among customers; or in any manner that disparages or discredits Loopah. All other trademarks not owned by Loopah, or its subsidiaries that appear on our Site are the property of their respective owners.

LICENSES AND SITE ACCESS

Loopah.com grants you a limited license to access and make personal use of this Site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of Loopah. APPLICABLE LAW

By visiting Loopah.com, you agree that the laws of the state of Idaho, without regard to principles of conflict of laws, will govern these Terms of Use and any dispute of any sort that might arise between you and Loopah.

ARBITRATION

Any dispute relating in any way to your visit to Loopah.com shall be submitted to confidential arbitration in Sandpoint, Idaho, except that, to the extent you have in any manner violated or threatened to violate intellectual property rights of Loopah, Loopah may seek injunctive or other appropriate relief in any state or Federal court in the state of Idaho, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The award of the arbitrator shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

TERMINATION

These Terms of Use are effective until terminated by either you or us. You may terminate these Terms of Use at any time by discontinuing use of this Site(s) and destroying all materials obtained from this Site and all related documentation and all copies and installations thereof, whether made under these terms of use or otherwise.

Loopah may immediately terminate these Terms of Use with respect to you in our absolute discretion including, without limitation, if you breach or fail to comply with any material term or provision of these Terms of Use. Upon termination, you must cease use of this Site and destroy all materials obtained from this Site and all copies thereof, whether made under these terms of use of otherwise.

Loopah has a policy that provides for the termination in appropriate circumstances, of the accounts of users who are repeat infringers of copyright. Any fraudulent, abusive or otherwise illegal activity may also be grounds for termination of your account, at our sole discretion and you may be reported to appropriate law-enforcement agencies.

SITE POLICIES, MODIFICATION AND SEVERABILITY

These policies and other published policies govern your visit to Loopah.com. We reserve the right to make changes to our site, policies, and these Terms of Use at any time. If any of these terms shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.

• ERRORS, MISTAKES OR INACCURACIES OF CONTENT;
• PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THIS SITE;
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN;
